The Blue Square North side have accepted a bid from the Terriers for the striker. Scunthorpe have had two offers rejected.
If Novak does agree to join the Yorkshire side it will not be until next season as part of the deal to take the player to the Galpharm Stadium will see Novak loaned straight back to the north-east club.
Clark told Huddersfield's official website: "Lee is a player I've known about for a while because he comes from my neck of the woods. I have kept tabs on him over a period of time but over the last few months that interest has intensified.
"He is a highly sought-after young player and we have come to an agreement with Gateshead, but we are yet to sit down with Lee to sort out personal terms. What I have to stress is that Lee is one for the future.
"If we come to an agreement he would go back to Gateshead for the remainder of the season as they are going really well in the Conference North - we believe that will be beneficial to his development."
