Striker Hayes was already expected to move to the Yorkshire club following his rejection of the Iron's final offer of a new contract and his move will require a fee.
But midfielder Kell's departure is all the more surprising following his recent broken leg, and the likelihood that he won't recover until Christmas.
There had been rumours on the Iron-Bru.net messageboard in recent months that the Tykes had lined up a move for Kell, but it had been assumed that his broken leg would end any deal.
Both players are out of contract, and manager Brian Laws will be hoping to quickly replace the duo.
"Richard turned down a deal with us to sign a long contract elsewhere," Laws told the Iron's official website.
"I'm amazed that a club is prepared to offer a long-term deal to a player with a broken leg."
The Tykes will hold a press conference at 12pm on Thursday, where they will announce the signing of three players.
